Partnership

The (practice) companies affiliated with the partnership provide their services exclusively for their own account and risk, and the general terms and conditions applied by the respective (practice) company always apply to that service. Only lawyers who are (in)direct shareholders of these (practice) companies may be designated as partners of the Sørensen Advocaten partnership. They act, however, solely for the account and risk of their respective (practice) company and together do not form a partnership (maatschap) or general partnership (vennootschap onder firma).

Scope of application

These general terms and conditions apply to all assignments (including any additional or follow-up assignments) which Sørensen Advocaten (KvK 24379615, also known as Manhattan aan de Maas B.V.) performs or causes to be performed for or on behalf of the Client, if and insofar as matters accepted by Sørensen Advocaten are handled by its associated lawyers Yvonne Sørensen, Karlijn Kapel, Martina Benard and/or Camillia de Weerd. Applicability of the Client’s own general terms and conditions is excluded.

Regardless of the Client’s intention and regardless of any agreement between the Client and a natural person affiliated with Sørensen Advocaten regarding the manner in which an assignment is to be carried out, all assignments are accepted and performed exclusively by the B.V. of the lawyer concerned. The applicability of Articles 7:404 and 7:407 paragraph 2 of the Dutch Civil Code is excluded.

Auxiliary persons

Sørensen Advocaten is free to engage third parties (“Auxiliary Persons”) at its own discretion where this benefits the proper performance of the assignment. Costs associated with engaging these Auxiliary Persons will be passed on to the Client. Liability of (the lawyers of) Sørensen Advocaten for acts or omissions of Auxiliary Persons it engages is excluded.

Liability

The liability of Sørensen Advocaten is limited to the amount paid out in the case in question under the (professional) liability insurance of the B.V. of the lawyer concerned, plus the excess which, under the policy, remains for the lawyer’s account. The maximum cover is €1,000,000. If for any reason no payment is made under the insurance referred to in this article, liability is limited to the fee charged in the matter from which the liability arises. Any liability of Sørensen Advocaten lapses one year after the Client has reasonably become aware of the grounds for liability, or – if earlier – one year after the assignment ended. At the Client’s request, the relevant insurance policy will be made available for inspection at the offices of Sørensen Advocaten.

The Client indemnifies Sørensen Advocaten and all natural and legal persons directly or indirectly affiliated with Sørensen Advocaten against all possible claims by third parties directly or indirectly connected with or arising from the work carried out or performed by Sørensen Advocaten for the Client. All costs incurred by Sørensen Advocaten in connection with third-party claims will be reimbursed to Sørensen Advocaten by the Client.

Fees and payment

An advance is levied prior to matters for private Clients. In addition to the agreed hourly fee, the Client will be charged disbursements and VAT on a specified invoice. Any advances paid by the Client may be set off by Sørensen Advocaten at any time against outstanding invoices. Any remaining advance will be settled against the final invoice, and any balance will be refunded to the Client. Invoices are subject to a 14-day payment term. If payment is not made by the due date, the Client is in default without notice of default being required, and Sørensen Advocaten is entitled to charge statutory interest (for private individuals) and commercial interest (for businesses) and to take the measures it considers necessary to settle the outstanding invoice. Sørensen Advocaten may suspend work if no advance is available to cover it. Sørensen Advocaten has the right to change its basic hourly rate and its mileage or travel-cost allowance for travel by car or train.

Confidentiality

In performing the assignment, Sørensen Advocaten will take appropriate measures to preserve the confidentiality of the client relationship. Nevertheless, unless expressly agreed otherwise, the following applies to the assignment:

(i) The Client consents to information known to Sørensen Advocaten, whether or not related to the assignment, being disclosed to those within Sørensen Advocaten for whom knowledge of that information is useful in connection with handling the assignment or relationship management;

(ii) The Client consents to the use of all communication methods customary at the time, in particular the internet. Sørensen Advocaten is entitled to destroy files five years after notifying the Client that they have been archived.

Complaints, language and law

Sørensen Advocaten has a complaints procedure and an internal complaints officer (mr. E.M.Y. Sørensen). Complaints that cannot be resolved internally are submitted to the Legal Services Disputes Committee (Geschillencommissie Advocatuur). The complaints procedure will be sent to the Client on request.

These general terms and conditions are drawn up in both Dutch and English. In the event of a dispute over interpretation, the Dutch-language version is decisive.

The legal relationship between Sørensen Advocaten and the Client is governed by Dutch law. Disputes will be settled by the competent court in Amsterdam.
